End User License Agreement

1. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a single mobile device that you own or control, solely for your personal, non-commercial use.

2. License Restrictions

You agree not to, and you will not permit others to:

• Copy, modify, or distribute the App or any portion thereof
• Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the App
• Rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the App
• Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the App
• Use the App for any purpose that is unlawful or prohibited by this Agreement
• Use the App in any manner that could damage, disable, overburden, or impair the App
• Use the App to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature

3. Intellectual Property Rights

The App and all copies thereof are proprietary to us and title, ownership rights, and intellectual property rights in the App shall remain with us. All rights in the App not specifically granted in this Agreement are reserved to us.

The App is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. You acknowledge that no title to the intellectual property in the App is transferred to you.

4. Third-Party Services

The App may display, include, or make available third-party content or provide links to third-party websites or services. You acknowledge and agree that we are not responsible for any third-party content and do not endorse any third-party products or services.

5. Apple App Store Terms

If you downloaded the App from the Apple App Store, you acknowledge and agree that:

• This Agreement is between you and Woodbine, not with Apple Inc. ("Apple")
• Apple has no obligation to furnish any maintenance and support services with respect to the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. Apple has no other warranty obligation whatsoever with respect to the App
• Apple is not responsible for addressing any claims by you or any third party relating to the App
• Apple is not responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary

6. User Data

You retain all rights to any data you enter into the App. We do not collect, store, or transmit your personal data. All data is stored locally on your device. You are solely responsible for maintaining backups of your data.

7. Updates and Modifications

We may from time to time develop and release updates to the App, which may include upgrades, bug fixes, patches, and other error corrections and/or new features (collectively, "Updates"). Updates may also modify or delete features and functionality in their entirety. You agree that we have no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.

Based on your device settings, when your device is connected to the internet, the App will either (a) automatically download and install all available Updates, or (b) give you notice of or prompt you to download and install available Updates. You acknowledge that the App may not function properly if you do not install Updates.

8. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and destroy all copies of the App in your possession or control.

We may terminate this Agreement at any time for any reason. Upon termination, all licenses granted under this Agreement shall immediately terminate, and you must stop using the App and uninstall all copies from your devices.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE, OR THAT ANY DEFECTS IN THE APP WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of revenue, profits, or business
• Loss of data or data corruption
• Loss of goodwill or reputation
• Cost of procurement of substitute goods or services
• Any gambling losses or financial harm

ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE APP IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Woodbine and its officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to:

• Your use or misuse of the App
• Your breach of this Agreement
• Your violation of any third-party rights
• Any claim that your use of the App caused damage to a third party

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

13. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

14. Entire Agreement

This Agreement, together with our Privacy Policy and Terms and Conditions, constitutes the entire agreement between you and Woodbine with respect to the App and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the App.

15. Amendments

We reserve the right to modify this Agreement at any time. If we make material changes to this Agreement, we will notify you by posting the amended Agreement in the App and updating the "Last Updated" date. Your continued use of the App after such notification constitutes your acceptance of the amended Agreement.
